What the work actually involves

You will spend most of your time doing two things: producing expert redlines and negotiation turns against realistic fund formation fact patterns, and evaluating what a model produced against the same prompt. A task might be a side letter request from a sovereign wealth LP that triggers MFN mechanics, a subscription agreement with a shaky ERISA representation, or an LPA clawback and giveback provision where the model has quietly changed the guarantee scope. Your output is a marked-up document plus written reasoning: what you changed, which party the change favours, what you would actually accept in a negotiation and what you would escalate.

The second half is grading. You will be asked to build and apply rubrics — objective criteria that let a different reviewer reach the same score on the same output. That means separating a genuine legal error (a misstated distribution waterfall tier) from a stylistic preference (your firm's house drafting convention), and writing the distinction down in a way a research team with no JD can act on. Reviewers who score everything they dislike as wrong tend not to last.

What the platform screens for

  • Real transactional depth in a funds practice, not adjacent corporate work. Expect follow-ups on specific provisions: MFN tiering, key person and suspension events, management fee offsets, transfer and ECI blockers.
  • Whether you can articulate why a redline matters commercially, not just that it is market.
  • Calibration: consistency across similar tasks, and willingness to defend a score when a reviewer disagrees.
  • Writing that survives being read out of context by someone who was not on the deal.

Logistics

Fully remote, contractor, asynchronous. Compensation is per completed and approved task rather than by the clock — average handling time is around 3.5 hours, so the effective hourly rate depends on how efficiently you work and how much of your output clears review. Most contributors treat it as part-time evening or weekend volume alongside a practice. Expect an onboarding calibration round, written guidelines that change as the project matures, and occasional live sessions with product or research staff.
